Collaboration grounded in transparency and shared value

These terms govern access to ReBizModelDB's digital platforms, advisory services, learning experiences, and events. By engaging with us you agree to co-create circular outcomes with integrity, respect, and impact accountability.

Effective date: 10 November 2025

1. Engagement scope

ReBizModelDB provides strategic advisory, design sprints, digital tools, and community programmes that support circular economy adoption. Each project or subscription includes a customised statement of work detailing objectives, deliverables, responsibilities, and timelines. Where conflicts arise, the statement of work takes precedence over these general terms.

2. Responsibilities and conduct

  • Shared collaboration: Both parties commit to transparent communication, timely feedback, and providing necessary resources to meet project outcomes.
  • Ethical standards: We work only with partners who uphold human rights, environmental stewardship, and anti-corruption practices. Violations may result in suspension or termination of services.
  • Use of materials: Toolkits, models, and data shared during engagements are licensed for agreed internal purposes unless otherwise specified.

3. Intellectual property

Pre-existing materials, methodologies, and software remain the property of their respective owners. Assets co-created during engagements may be shared or jointly owned according to the statement of work. We encourage open innovation and will define licensing terms to support collective impact while protecting confidential know-how.

4. Confidentiality

Both parties agree to protect proprietary or sensitive information disclosed during collaboration. Confidential information may be shared internally on a need-to-know basis but cannot be published or redistributed without written consent. Exceptions include data already public, independently developed, or required by law.

5. Fees, invoicing, and cancellations

Pricing models may include retainers, milestone-based fees, subscriptions, or success-linked incentives. Invoices are due within 30 days unless otherwise agreed. Either party may terminate the engagement with written notice if the other party materially breaches these terms and fails to cure within 15 days.

6. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. ReBizModelDB's aggregate liability is capped at the fees paid in the twelve months preceding the claim. Nothing in these terms limits liability for willful misconduct or violation of applicable law.

7. Governing law and dispute resolution

These terms are governed by Dutch law. Parties will first seek to resolve disputes through good-faith negotiation. If unresolved, the matter may be referred to mediation in Amsterdam before pursuing arbitration or court proceedings.

8. Updates to these terms

We may update these terms to reflect new services, regulations, or best practices. When material changes occur we will notify active partners and update the effective date. Continued use of our services after changes constitutes acceptance.
